Welcome to Paylyze (“Paylyze,” “we,” “us,” or “our“). These Terms & Conditions (“Terms“) govern your access to and use of our website located at paylyze.sbs (the “Site“) and any related services, products, accounts, payment processing, and billing features we provide (collectively, the “Services“). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not access or use the Services.

Notice to U.S. Users: These Terms include (1) a binding arbitration provision and class action waiver (see Section 17) and (2) important disclosures regarding recurring billing, refunds, chargebacks, and ACH debits (see Sections 6–10). Please read them carefully.


1. Eligibility; Account Registration

  • You must be at least 18 years old and capable of forming a binding contract to use the Services.
  • When you create an account, you must provide accurate, current, and complete information and keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.
  • We may refuse, suspend, or terminate accounts at our discretion consistent with these Terms and applicable law.

2. Our Services; Relationship of the Parties

  • Paylyze provides online tools that may include invoicing, checkout, subscription management, and payment processing integrations with third‑party processors (the “Processors“).
  • Paylyze is not a bank, money transmitter, or financial institution unless expressly stated; we partner with Processors and regulated institutions to facilitate payments.
  • Your use of a Processor is subject to the Processor’s own terms and policies, which you must accept to enable payments. We are not responsible for the Processor’s acts or omissions.

3. Acceptable Use & Prohibited Activities

You agree to use the Services only for lawful purposes and in compliance with these Terms and all applicable laws, rules, and regulations, including but not limited to consumer protection, privacy, anti‑money laundering (AML), sanctions (OFAC), and card network rules.

Prohibited uses include, without limitation: (a) illegal goods/services; (b) deceptive, unfair, or abusive acts or practices; (c) activities that infringe intellectual property or privacy rights; (d) spamming or unsolicited marketing without proper opt‑in; (e) attempts to circumvent security or misuse others’ data; (f) any activity prohibited by the Processor or card networks.

We may suspend or terminate your access if we reasonably believe you engaged in prohibited activity.

4. Prices, Fees, and Taxes

  • Prices and Fees. We may charge platform fees, transaction fees, processing fees, chargeback fees, and other service fees (collectively, “Fees“). Unless otherwise stated, prices and Fees are in U.S. dollars and are non‑refundable except as required by law or our express refund terms.
  • Changes. We may change prices or Fees at any time on notice as required by law, effective on the date specified in the notice.
  • Taxes. You are responsible for any sales, use, VAT/GST, or similar taxes arising from your use of the Services, except taxes based on our net income. Where required, we may collect and remit taxes.

5. Payment Methods; Authorization to Charge

By submitting a payment method (e.g., credit/debit card, ACH bank account, digital wallet), you represent that you are authorized to use it and you authorize us and/or the Processor to charge that method for all amounts owed, including recurring subscription charges, one‑time purchases, Fees, taxes, and chargeback amounts where permitted by law.

You authorize us to store your payment method for future transactions. If your payment method is declined, you authorize us to retry charges and to use any backup method you provide.

6. Recurring Billing & Subscriptions

If you enroll in a subscription or plan with recurring charges:

  • We will clearly disclose the billing interval (e.g., monthly, annually), price, and how to cancel before you complete enrollment.
  • Your subscription will automatically renew at the then‑current rate unless you cancel before the renewal date.
  • You may cancel at any time via your account settings or by contacting us at {{support@paylyze.sbs}}. Cancellations take effect at the end of the current billing period unless otherwise stated.
  • Free Trials/Intro Offers. If offered, we will state the trial length and what happens at the end. Unless you cancel before the trial ends, you agree we may charge the recurring price at trial end.

7. Refunds, Cancellations & Returns

  • Unless a separate refund policy applies, all fees are non‑refundable once charged, except where required by law or expressly stated otherwise.
  • If we provide a specific Refund & Return Policy, it is incorporated into these Terms and controls in the event of conflict.
  • For subscriptions, canceling prevents future renewals; it generally does not retroactively refund amounts already paid for the current term unless we state otherwise.

8. Chargebacks & Disputes

  • You agree to contact us first to attempt resolution before initiating a chargeback with your card issuer or bank.
  • If you pursue a chargeback we reasonably believe is fraudulent or improper, we may dispute it and suspend or terminate your access. We may also charge a chargeback fee to the extent permitted by law and the card networks.

9. ACH Debits (U.S. Only)

If you enable ACH payments:

  • You authorize electronic debits and credits to your designated bank account for payments, refunds, and adjustments, pursuant to the Electronic Fund Transfer Act (EFTA) and Regulation E.
  • You may revoke ACH authorization by removing your bank account in your settings or contacting us at {{support@paylyze.sbs}} with reasonable time for us to act.
  • ACH returns may result in additional fees. You agree to maintain sufficient funds and resolve any returns promptly.
  • ACH transactions are subject to NACHA Operating Rules.

10. Promotions & Credits

Promotional offers, coupons, and credits are subject to additional terms, have no cash value, and may expire. We may modify or cancel promotions at any time consistent with applicable law.

11. Intellectual Property

The Services, including all content, software, logos, and trademarks, are owned by Paylyze or its licensors and are protected by U.S. and international laws. You are granted a limited, non‑exclusive, non‑transferable license to access and use the Services for your internal business or personal use. No other rights are granted.

12. User Content & Feedback

  • You are responsible for any content you submit (e.g., business info, product listings, text, images) and must have all necessary rights. You grant Paylyze a worldwide, royalty‑free license to host, display, and use such content to provide the Services.
  • If you provide feedback or suggestions, we may use them without restriction or compensation to you.

13. Privacy; Data Security

  • Our Privacy Policy explains how we collect, use, and share information. By using the Services, you consent to data practices described there.
  • We implement commercially reasonable safeguards designed to protect your information. No method of transmission or storage is completely secure, and we cannot guarantee absolute security.
  • If you process personal data via the Services, you represent that you have provided all necessary notices and obtained all necessary consents from your end users.

14. Third‑Party Services & Links

We may provide links to third‑party sites or services. We are not responsible for their content, policies, or practices. Your use of third‑party services is at your own risk and may be subject to additional terms
